New Order On Kishore Biyani Won't Hit Reliance Deal Says Future Retail

Wednesday's order came after Sebi conducted an investigation into the scrip of FRL to ascertain whether certain persons or entities had traded in the scrip between March 10 and April 20, 2017, on the basis of unpublished price sensitive information (UPSI), breaking the Sebi Act, 1992 read with the Sebi (Prohibition of Insider Trading) Regulations, 2015.

Kishore Biyani has been banned from accessing the securities market for a year by India's market regulator Securities and Exchange Board of India. Another senior lawyer, speaking on condition of anonymity, said that the order won't impact the NCLT process. However, the SEBI insider trading order excludes any deal that is awaiting approval and therefore, is unlikely to have any impact on the Future-Reliance deal.

Apart from the Biyanis and FCRL, individuals barred from the securities market include Rajesh Pathak, who was then company secretary of FCRL, Rajkumar Pande, CFO of FCRL, Virendra Samani, legal counsel for Future Group and Arpit Maheshwari, who was Deputy Manager at Future Retail at the time. Future Corporate Resources and the two Biyani brothers will each need to pay a penalty of 10 million rupees ($137,099) within 45 days, SEBI said.

"The Order will be challenged in exercise of the statutory right to appeal", it added. Besides, they have been asked to disgorge Rs 17.78 crore for the wrongful gains made by them. Amazon is trying to block the deal.

An Indian court on Tuesday temporarily restrained Future Retail from disposing of the assets after objections from Amazon.

According to Sebi, this scheme of arrangement which resulted in the demerger of certain businesses of FRL qualified as UPSI prior to its announcement on April 2017. The order comes when Biyani's Future Group has locked horns with Amazon as it bids to sell its retail assets to Reliance Industries Ltd (RIL).
